In these terms and conditions the following terms shall have the following meanings:
“Company” Ralph Ely & Son Ltd
“Customer” means any legal person or body corporate who’s order is accepted by the Company.
“Contract” means any contract for the supply of Goods or services by the Company to the Customer.
“Goods” means any goods forming the subject of this contract including parts and components of or materials incorporated in them.
“Services” means any services forming the subject of this contract/Quotation

1. Quotations
Quotations given by the Company unless otherwise stated in them shall be valid for 30 days from the days of the quotation.

2. Pricing
The prices for the goods or services are ex-works and exclude packing, insurance, credit card charges, carriage, Vat, and other taxes or duties.
Prices invoiced are calculated in respect of the quantity of Goods or services actually delivered and number of hours of service provided. We have varying price structures, based upon the volume of business and the type of customer, ie Government. Education. Local Authorities etc.

3. Confidentiality
The Customer shall not at any time before or after the transaction divulge or use any unpublished technical or financial information deriving from the Company or any other confidential information in relation to the Companies affairs or business methods

4. Orders
Goods are NOT sold on a sale or return basis. Please make sure you order carefully.
We reserve the right to refuse an order without reason.
We advise you not to book an Installation date before you have received the equipment and before we have visited your location to advise on installation methods and confirm costs.

Please allow ample time for delivery .we cannot be responsible for losses in respect of missed deadlines at presentations, installations etc.
We will accept cancellations prior to despatch without cost. If you cancel after the goods have been shipped to you a re- stocking charge of 15% will be applied.
Projector lamps, mounts and special orders of bespoke items on special order with the Manufacturer cannot be cancelled. Please ensure you order correctly, In these instances we cannot accept order cancellations or returned goods once ordered.

Special orders of any products cannot be cancelled. Once ordered goods have to be paid for in full.
Purchase orders must include goods required. Prices,and acceptance of delivery costs. credit card surcharge and insurance costs where applicable and must be signed by an authorised person.
Orders can only be accepted for shipment to your registered trading address.
All goods and services are offered subject to availability

5. Payment terms
Payments are accepted by cheque, Visa credit cards bank transfer and debit card
Credit cards incur a surcharge of 2% of the total cost of the goods or services.
7,14 and 30 day credit accounts are available. Please note we carry out full credit checks through agencies in these applications.

Where goods or services are supplied on credit accounts, late payments will incur penalty. In any Default of payment interest is charged at a rate of 10% above the Bank of England rate from the date payment is due, together with all costs of recovery.
Title of goods, but not the risk remains with Ralph Ely & Son Ltd until full payment has been cleared at our bank.

6. Delivery and receipt of goods
Delivered goods cannot be exchanged or returned.
Delivery dates given are supplied by the Manufacturer or agents and are dependant on stock positions.
We will not be liable under any circumstances for failure of or delay in delivery of the whole or part of any order due to events or circumstances beyond our control.
Goods must be checked for physical damage before signing to accept delivery from the carrier. If the goods are damaged or broken, please do not sign for the goods. Contact Ralph Ely & Son Ltd immediately by telephone on 0121 766 5000 or fax on 0121 7665533.
If you sign for the goods you are accepting ownership of your goods in perfect physical condition. If you do not check the goods at the time of signing and the goods have been broken in transit, you will forfeit your right to reject the goods for physical damage and we cannot replace or take back your goods

Once you have accepted your goods, please note that you have 2 working days to check that your product is working correctly. Should the goods not be working satisfactorily you must contact us to obtain an RMA form and returns note number to enable us to make arrangements for collection and inspection, providing the goods are undamaged, unused and in their original packing and you have not marked either the goods or the packaging in any way. If you fail to comply with these conditions you will be deemed to have accepted the goods.

Goods returned in undamaged, unused condition and in their original undamaged or unmarked packaging, will be inspected by the manufacturer or agent, and a replacement or return of your goods will be made at their sole discretion

The manufacturers warranty comes into effect three days after receipt of your goods. Goods are not sold on a sale or return basis.

7.Description of Goods
The description of goods on our website is given for the purpose of providing information on manufacturers items. Such goods are liable to change and modification of specification by the manufacturers without prior notice
We take every care to ensure accurate information is given in description and pricing on the website but we cannot be responsible for any discrepancies errors or omissions. E. & O.E

Ralph Ely & Son Ltd provide product guides solely for the purpose of identification and general information. No liability can be accepted for the incompleteness or accuracy of these guides.

8. Quality of Goods
Subject to the other provisions in these conditions Ralph Ely & Son Ltd warrant that the goods will be of satisfactory quality.
We are not the manufacturers of the goods, and all warranties, conditions and other terms implied by statute or common law are subject to the above, expressly excluded.
We will endeavour to pass on to you the benefit of any warranty given by the manufacturer in respect of your goods.

9. Assignment of goods
You may not assign, charge or transfer any of your rights or obligations under any contract without our prior written permission. We may assign and/or sub-contract any contract at any time on notice to you

10. Title
Risk of damage to or loss of goods shall pass to you on delivery and any outstanding debt beyond the payment terms granted will be recovered by legal procedure at your expense

11. Warranties
All goods are covered by manufacturers warranties as stated on the manufacturers product description.

12. Force majeure
Ralph Ely & Son Ltd is not liable for delays in delivery or cancellation of your order caused by circumstances beyond its reasonable control. Such as supplier transport, manufacturers production problems. government action and natural disasters. If this lasts for more than two months, the contract may be terminated by either party without compensation

13. Contracts
Any contract shall be governed by the laws of England and the parties shall submit to the sole jurisdiction of the English courts.
